Terms & Conditions
1. Introductory provisions
These Terms and Conditions govern business relationships between Tom Kave Company s. r. o., trading as TS Palletium, and its business partners in the supply of wooden pallets, logistics services and related business activities.
These terms apply exclusively to business-to-business (B2B) relationships.

3. Scope of business
TS Palletium provides in particular:
- purchase and sale of wooden pallets,
- supply of EPAL, EUR and industrial pallets,
- buyback of used pallets,
- logistics arrangements for deliveries,
- brokering of business opportunities in pallets and logistics solutions.
4. Quotations
All quotations issued by TS Palletium are individual and are prepared based on the required quantity, pallet type, place of delivery, delivery date and the current market situation. Unless stated otherwise, a quotation is valid for the period indicated in it.
5. Conclusion of a transaction
A business relationship is concluded upon written confirmation of the order by both parties by e-mail or in another agreed manner. Merely sending an enquiry via the website does not create a contractual relationship.
6. Payment terms
Payment terms are agreed individually. The company may require:
- payment in advance,
- a partial deposit,
- payment after delivery,
- or another agreed form of payment.
In the event of late payment, the company reserves the right to charge statutory default interest in accordance with applicable legislation.
7. Delivery terms
Delivery dates depend on the availability of goods, production capacity and logistics options. TS Palletium will make reasonable efforts to meet agreed dates but is not liable for delays caused by circumstances beyond its reasonable control.
8. Acceptance of goods
Upon acceptance, the buyer is obliged to check:
- the quantity,
- the visible condition of the goods,
- any damage caused during transport.
Visible defects must be reported without undue delay.
9. Complaints
Complaints must be submitted in writing to: info@tspalletium.com
A complaint must include:
- identification of the order,
- a description of the defect,
- photo documentation (where possible),
- the buyer's contact details.
Each complaint will be assessed individually.
10. Liability
TS Palletium is not liable for damage caused by:
- improper storage of pallets,
- inappropriate handling,
- use contrary to their intended purpose,
- force majeure.
11. Force majeure
Force majeure includes in particular:
- natural disasters,
- acts of war,
- strikes,
- transport outages,
- extraordinary measures by public authorities,
- other unforeseeable circumstances.
For the duration of force majeure, neither party is liable for the inability to perform its obligations.
12. Confidentiality
Both parties undertake to keep confidential all business, technical and pricing information obtained during their cooperation, unless its disclosure is required by law or expressly agreed by the parties.
13. Governing law
These terms and conditions are governed by the laws of the Slovak Republic. Any disputes will preferably be resolved by negotiation. If no agreement is reached, the competent courts of the Slovak Republic will decide.
14. Final provisions
TS Palletium reserves the right to amend or supplement these Terms and Conditions as appropriate. The current version is always published at www.tspalletium.com.
